The members of the Iowa Teddy Bear Makers' Guild, an unincorporated association, have adopted the following bylaws for the conduct of the affairs of the Association.


The Name of the Association is "The Iowa Teddy Bear Makers' Guild."

ARTICLE II - Objectives and Purposes

  1. To promote and foster an interest in quality, handmade teddy bears;
  2. To give positive recognition and credibility to quality-made teddy bears of original design. To encourage bear-makers to search for their own unique style;
  3. To create friendships among bear-makers, provide an accurate source of information, and foster a care, concern, and positive attitude toward the work of other members;
  4. To share marketing ideas and work together to create future markets;
  5. To share resources and information relating to bear construction;
  6. To sponsor an exhibit of handmade bears for use as an educational tool
  7. To establish an archives (scrapbook) for Iowa teddy bear makers to perpetuate information about member's products.

ARTICLE III - Application Procedure for New Members

Membership in the Association is open to Iowa residents engaged in the production and sale of handmade teddy bears of original design and high quality. A prospective member may attend one meeting at the invitation of a member before applying for membership.

Applicants must submit three bears, of the same pattern, size, fabric and color and the appropriate form to the Membership Chairperson for approval by the members attending the next scheduled meeting. Applicant is responsible for all shipping costs including return shipping. Acceptance into the Guild is contingent upon approval by the Guild members. The Membership Chairperson shall notify applicants of the decision in writing.

Upon acceptance, the new member must pay a one-time initiation fee of $50 and, in addition, shall pay annual dues of $10.

ARTICLE IV - Membership Rights and Responsibilities

Each member shall pay annual dues of $10 per year, due and payable June 1 of each year. If dues are not paid by October 1, the member must pay an additional $10 late fee for a total of $20. If dues are not paid by May 31 of the following year, membership is terminated. Notification of pending termination will be sent two months prior. To rejoin the Guild, the bear maker must reapply for membership.

Each member shall have one and only one vote in the affairs of the Guild.

Members are encouraged to bring new designs before the Guild to be juried for endorsement. Bears must be approved in order to display the Guild hangtag. In order to be approved, the member must bring the bear to a meeting and at the same time, submit the appropriate completed form and a photo of said bear for the archives. Artists may submit photos of current work, whether or not juried, for inclusion in the archives.

Members may use the name of the Iowa Teddy Bear Makers' Guild in their stationary, hangtags, and correspondence to indicate that they are members of the Guild. The Guild logo, without the endorsement statement, can be displayed on your table or stationary, but not on a bear. Hangtags displaying the Guild logo with an endorsement statement on the back may only be used on approved bears. The hangtags are printed by the Guild and are available from the treasurer for $.05 each. The privilege of using the Guild hangtags is terminated when membership is terminated.

ARTICLE V - Offices, Terms and Duties

The elected offices of the Association shall be the President, Secretary, Treasurer, and Membership Secretary. They shall be elected from the general membership. A term of office shall be one year. An officer who has served two consecutive terms in the same office shall not be eligible for reelection for that office until after an absence of one year.

The President shall be responsible for:

  1. calling meetings of the members,
  2. notifying members of dates, times and locations of meetings through the secretary's minutes or by other means,
  3. and presiding at such meetings.

The Secretary shall be responsible for:

  1. maintaining a permanent record of the business and affairs of the Association,
  2. preparing the minutes for each meeting and
  3. providing copies of minutes of meetings to members to be sent two weeks after the meeting or at least two weeks before the next meeting. Two copies shall be provided for the Historian, one being for the Archives.

The Treasurer shall be responsible for:

  1. maintaining the association's funds and financial records
  2. paying any approved bills incurred by the Association,
  3. presenting a financial report at each Guild meeting, and
  4. selling Guild hangtags to members.

The Membership Chairperson shall be responsible for:

  1. contacting prospective members,
  2. providing application forms,
  3. receiving the applications and bears,
  4. presenting applications to the membership,
  5. returning the bears to the applicant at applicant's expense,
  6. and writing the acceptance or rejection letters. Letters advising applicants of the rejection of a bear shall be written in a positive manner, encouraging applicants to resubmit their bears following certain recommended changes and modifications.
  7. Membership Chairman is also responsible for the notification of membership termination.

ARTICLE VI - Meetings

There shall be at least two meetings of the association per year. Additional meetings can be called by the President. Five members shall constitute a quorum for transaction of business at duly authorized meetings. A motion can be passed by two-thirds vote of the attending and voting members. In the case of an issue that has been presented previously, a vote may be cast in absentia by contacting the President prior to the meeting where the vote will be taken.

ARTICLE VII - Committees

Committees may be appointed from among the membership from time to time as determined by the President.

ARTICLE VIII - Election of Officers

Elections shall be held at a meeting of the members prior to the June 1 calendar year. The candidate for each office receiving the most votes shall be declared the winner.

A member shall be elected to only one office at a time.

Vacancies shall be filled by vote of the members as they occur.

ARTICLE IX - Amendments

These by-laws may be amended by the affirmative vote of not less than two-thirds of the members present and voting at a duly authorized meeting of the members.

ARTICLE X - Dissolution

In the event of the dissolution of the association, any funds remaining after payment of all of the debts and obligations of the Association shall be donated to a charity chosen by the members.
